Terms and conditions
Clear agreements for every project: quote, delivery, payment, ownership and aftercare.
Last updated: 1 November 2026
01Scope
These terms apply to all quotes, agreements and services of Minds on Web, a brand of Techminds (VAT BE0800.219.316, Temse, Belgium). Deviations only apply when confirmed in writing. The client's own terms do not apply unless expressly accepted in writing.
02Quotes and agreement
- Every quote is tailor-made and valid for 30 days unless stated otherwise.
- The agreement is formed once the client accepts the quote in writing or by email.
- Prices are in euros and exclude VAT unless expressly stated otherwise.
- Work outside the agreed scope is discussed in advance and charged separately.
03Delivery and cooperation
We carry out every project with the care of a professional service provider (best-efforts obligation). Timelines are indicative and start once we have received the required input.
- The client provides texts, images, logins and feedback on time.
- The client guarantees that supplied material does not infringe third-party rights.
- Delays caused by missing input may shift the schedule.
04Feedback and handover
Each quote states the number of feedback rounds included. After handover the client has 14 days to report any defects in writing. Without a report within that period, or once the project goes live, it is deemed accepted. Minor defects do not prevent acceptance; we fix them free of charge.
05Prices and payment
- Invoices are payable within 14 days of the invoice date unless agreed otherwise.
- For larger projects, a deposit and phased invoicing may be set out in the quote.
- Late payment automatically incurs interest under the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.
- In case of continued non-payment we may suspend work and services (such as hosting) after written notice.
06Hosting, maintenance and subscriptions
Hosting and maintenance plans are billed monthly and run month to month unless the quote states another term. They can be cancelled in writing or by email with one month's notice. We aim for high availability but cannot guarantee uninterrupted operation of third-party services (hosting platform, payment providers, email services).
07Intellectual property
After full payment the client receives the right to use the delivered design, copy and custom code for the agreed purpose. Reusable technical building blocks, know-how and tools of Minds on Web remain our property. Open-source software and third-party services remain subject to their own licences. Unless the client objects in writing, we may mention the project in our portfolio without confidential data.
08Liability
Our liability is limited to direct damage and to the amount invoiced for the assignment concerned (for subscriptions: the fees of the last 12 months). We are not liable for indirect damage such as loss of profit, data or revenue, nor for outages at third parties. The client remains responsible for the content of their website or application and for complying with laws that apply to their business. This limitation does not apply in case of intent or gross negligence.
09Confidentiality and data
Both parties keep confidential information secret. When we process personal data on the client's behalf (for example in a web application or online store), we do so as a processor under the GDPR and, where required, under a data processing agreement. How we process data of visitors to this website is described in our privacy policy.
10Termination
Either party may terminate the agreement in case of a serious breach not remedied within 15 days of written notice. On termination, work already performed is invoiced.
11Consumers
When we work for a consumer, their mandatory rights under the Belgian Code of Economic Law remain fully applicable. A distance contract can in principle be withdrawn within 14 days; if the consumer expressly asks us to start within that period, they pay for the work already delivered.
12Governing law and disputes
All agreements are governed by Belgian law. We first look for an amicable solution together. Failing that, the courts of the judicial district of East Flanders have jurisdiction, without prejudice to mandatory jurisdiction rules for consumers.
